1. Agreement to Terms

By accessing zaxius.com or engaging Zaxius for services, you agree to these Terms of Service. If you do not agree, please do not use our website or services.

2. Our Services

Zaxius provides e-commerce operations management, marketplace account creation and management, business formation and trademark registration support, private label and wholesale sourcing, China sourcing and freight forwarding coordination, graphic and packaging design, digital marketing and growth services, and global vehicle and machinery trade services. Specific scope, deliverables and timelines for any engagement are defined separately in a proposal or agreement between Zaxius and the client.

3. No Guaranteed Results

While we work diligently on every engagement, e-commerce sales, marketplace approvals, advertising performance, sourcing timelines and business outcomes depend on many factors outside our control, including marketplace policies, market demand, and third-party suppliers or carriers. We do not guarantee specific sales figures, approval outcomes, or timelines.

4. Client Responsibilities

Clients are responsible for providing accurate business information, timely approvals and decisions, and any required documentation needed for account setup, business formation, or sourcing engagements.

5. Third-Party Services

Some services involve coordination with third parties, including marketplaces (e.g. Amazon, eBay, Walmart, Newegg, TikTok Shop, Etsy, Poshmark, Grailed), advertising platforms, suppliers, freight forwarders and government registration bodies. Zaxius is not responsible for the actions, policies or delays of these third parties.

6. Payment Terms

Payment terms, retainer amounts and project fees are agreed upon separately with each client prior to the start of an engagement.

7. Intellectual Property

Design work, branding assets and materials created for a client become the property of that client upon full payment, unless otherwise agreed in writing.

8. Limitation of Liability

To the fullest extent permitted by law, Zaxius shall not be liable for indirect, incidental or consequential damages arising from the use of our services or website.

9. Changes to These Terms

We may update these Terms of Service from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
